1. Agreement
These Terms of Service (the "Terms") form a binding agreement between you ("you," "your," or the "Customer") and {Legal entity name}, a {state/province} {entity type} doing business as Kitgy ("Kitgy," "we," "us," or "our"). By creating an account, signing in, or using any part of the Kitgy service (the "Service"), you accept these Terms. If you don't agree, don't use the Service.
If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you individually and that organization.
2. The Service
Kitgy provides a multi-tenant cloud platform for managing manufacturing, inventory, sales orders, work orders, and related operations. The Service includes integrations with third-party platforms (sales channels like Shopify, Etsy, eBay, Amazon, Wix, BigCommerce, WooCommerce, and Squarespace; shipping providers; and payment processors), the rates and availability of which are governed by those third parties' terms and may change without notice.
We may add, modify, or discontinue features at any time. Material changes will be communicated via in-app notice or email at the address on file.
3. Account responsibilities
- You are responsible for maintaining the confidentiality of your login credentials. Sharing credentials is grounds for termination.
- You are responsible for everything that happens under your account, whether or not it was you who took the action. Use the team-member invitation flow to grant scoped access to others.
- You agree to provide accurate, current, and complete information when you sign up and to keep it updated.
- You will notify us promptly at {security@yourdomain} if you suspect unauthorized access.
4. Subscriptions and billing
The Service is offered on a paid subscription basis with an optional 30-day free trial. Subscription billing is processed by Stripe; we don't store full card numbers on our servers. By subscribing, you authorize recurring monthly charges to your selected payment method until you cancel.
- Plan structure. $15 base per month (1 user + 1 GB storage) plus $5/month per additional user and $10/month per additional gigabyte of storage. Prices may change on 30 days' notice; existing terms apply through the end of your current billing period.
- Trial. The 30-day free trial does not require a credit card. When the trial ends, the Service is gated until you add a payment method.
- Cancellation. You can cancel any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period; we don't refund partial periods.
- Failed payments. We may suspend or terminate the Service if a payment fails and isn't resolved within {grace period, e.g. 14 days}.
5. Your data
You retain all rights to data you upload to or generate within the Service ("Customer Data"). We take Customer Data seriously and process it only as needed to provide the Service and as described in our Privacy Policy.
You are responsible for the legality of the data you bring into the Service. If your Customer Data includes personal information about third parties (your customers, employees, suppliers), you represent that you have a lawful basis to collect, store, and process that information, and you will comply with applicable privacy laws (such as the GDPR, CCPA, and equivalents in your region).
6. Acceptable use
You agree not to:
- Use the Service to violate any law, infringe anyone's intellectual property, or transmit malicious code.
- Attempt to access another tenant's data, or otherwise circumvent the multi-tenant isolation of the Service.
- Reverse-engineer the Service, scrape it at high volume, or use automated tools to overwhelm our infrastructure.
- Resell, sublicense, or repackage the Service without a separate written agreement.
- Use the Service to send spam, phishing, or other unsolicited communications.
7. Third-party integrations
The Service connects to external platforms (Stripe, Shopify, Etsy, eBay, Amazon, Wix, BigCommerce, WooCommerce, Squarespace, EasyPost, ShipStation, PayPal, and others). We don't control those platforms. Your use of an integration is governed by the third party's terms; if a third party changes its API, restricts access, or terminates your account with them, the integration may stop working through no fault of ours.
8. Intellectual property
Kitgy, the Kitgy logo, and the underlying software are owned by us and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. Nothing here transfers any IP rights in the Service to you.
You grant us a limited license to your Customer Data solely to the extent needed to operate the Service for you, and to anonymized aggregate data we may use to improve the Service. We don't sell or license your Customer Data to anyone.
9. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or otherwise put the Service or other tenants at risk. On termination, you'll have {data export window, e.g. 30 days} to export your data before we permanently delete it.
10. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or that defects will be corrected.
11. Limitation of liability
To the maximum extent permitted by law, Kitgy and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
Our total liability for any claim arising from or related to the Service will not exceed the greater of (a) the fees you paid us in the {12 months} immediately preceding the claim, or (b) {USD floor, e.g. $100}.
12. Indemnification
You agree to indemnify and hold us harmless from any third-party claim arising from your Customer Data, your use of the Service in violation of these Terms, or your breach of any law.
13. Changes
We may update these Terms from time to time. We'll post the revised version with an updated "Last updated" date. Material changes will be announced in-app or by email at least {notice period, e.g. 30 days} before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of {state/country}, without regard to conflict-of-laws principles. Any dispute will be resolved in {choice of forum / arbitration provider — fill in after counsel review}.
15. Miscellaneous
These Terms (together with the Privacy Policy and any order forms or addenda) are the entire agreement between you and Kitgy regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a sale of all or substantially all of our assets.
